本所作为沈阳某森房地产开发有限公司（以下简称“某森公司”）破产管理人，未支持债权人沈阳某豪房地产开发有限公司（以下简称“某豪公司”）主张的对140余套房产享有优先权的申请。某豪公司不服，提起诉讼。

管理人代表某森公司应诉。本案双方并未签订借款合同，而只签订了《商品房买卖合同》及《退房协议》等，案件焦点问题在于如何认定双方真实的法律关系系商品房买卖关系还是借贷关系，如为借贷关系签订商品房买卖合同行为能否构成担保，某豪公司是否享有优先受偿权。
因某森公司已将案涉房产实际出售给案外人并已交付，如认定某豪公司具有优先受偿权，那么100多位购房者的权益将无法保障。管理人代理律师在本案审理过程中查阅了大量法律法规及相关判例，提出本案法律关系应为名为买卖实为借贷的观点。经与沈阳市中级人民法院以及辽宁省高级人民法院法官充分沟通，最终辽宁省高级法院支持了管理人的意见，认为本案法律关系为借贷关系，商品房买卖合同备案的行为系为借贷所做的非典型担保，某豪公司不具有优先受偿权。最终保障了某森公司全体债权人以及100多位购房者的权益。
