某港股上市公司，在2010年进行上市前资产重组时，公司董事长将属于自己的部分股份通过境外持股公司附条件赠与公司13位高管，目的为保持、维系高管在公司的持续关系，激励高管勤勉努力工作。2010年11月，公司在香港上市。2011年，13位高管分别签署《承诺契约》，内容主要涉及高管受赠股份后应履行的义务。2012年，13位高管分别签署《终止契据》，对《承诺契约》进行部分变更。2017年，某高管因故离职，并受聘于该公司竞争对手公司，公司董事长认为其违反了股份赠与所附条件，遂向法院提起诉讼，要求撤销赠与，返还受赠股份及分红。

盛恒律师的观点及提交的新证据被最高院采信，最高院作出再审裁定，指令辽宁高院对本案进行再审。辽宁高院再审裁定撤销原一、二审判决，发回沈阳市中级人民法院重审。该案后经重审一审、二审审理，认为《承诺契约》《终止契据》有效并已实际履行，双方成立附条件赠与法律关系，且撤销赠与的条件成立，最终判令某高管按《承诺契约》《终止契据》约定，返还受赠股份。
