2021年年末，香港某上市公司联系辽宁盛恒律师事务所，提出香港某上市公司作为中间商为给其全球客户供货，和内地多生产厂家合作，为保证客户和生产厂家的稳定性，分别和所有生产厂家签订了协议书，约定生产厂家不能直接或间接和全球客户合作，若发生跳单现象，生产厂家应按照跳单合同的订单总金额赔偿香港公司。
但生产厂家经过长期合作后，逐渐了解了该香港某上市公司的客户情况，开始偷偷私下向香港某上市公司的全球客户送货。为了给自己违约“跳单”现象披上合法的外衣，生产厂家向法院提出起诉确认协议无效。
